These Terms of Service ("Terms") govern use of services provided by Voxatra LLC ("Voxatra", "we") to clients ("you", "Client"). By engaging services, signing a Statement of Work (SOW), or using any part of the Voxatra systems, you accept these Terms. If you don't agree, don't engage.
02Descrição do serviçoService description
Voxatra entrega: Voice AI, Chat & Messaging, Reviews AI, Content AI e Workflow AI. Cada engajamento é escopado via Statement of Work (SOW). Estes Termos aplicam exceto quando explicitamente sobrescritos por SOW assinado ou Master Services Agreement (MSA). Voxatra delivers: Voice AI, Chat & Messaging, Reviews AI, Content AI, and Workflow AI. Each engagement is scoped via a Statement of Work (SOW). These Terms apply unless explicitly superseded by a signed SOW or Master Services Agreement (MSA).
03ElegibilidadeEligibility
Para contratar Voxatra você deve ser:To engage Voxatra you must be:
- 18 anos ou mais18 years of age or older
- Representante autorizado da empresa contratanteAn authorized representative of the contracting company
- Operando negócio legítimo (sem fraude, sem shell entities)Operating a legitimate business (no fraud, no shell entities)

Voxatra reserva o direito de recusar serviço a qualquer parte, a seu critério. Voxatra reserves the right to refuse service to any party, at its sole discretion.
04Modelo de engajamento e escopoEngagement model and scope
4.1 Setup phaseSetup phase
Discovery → Build → Test → Launch (tipicamente 4–5 semanas). Escopo locked no SOW. Mudanças de escopo = change order com novas fees e timeline. Discovery → Build → Test → Launch (typically 4–5 weeks). Scope locked in the SOW. Scope changes = change order with new fees and timeline.
4.2 Retainer phaseRetainer phase
Retainer mensal para manutenção, iteração e melhorias menores. Horas inclusas no SOW. Trabalho out-of-scope é cobrado separadamente em hourly rate acordado. Monthly retainer for maintenance, iteration, and minor improvements. Hours included in the SOW. Out-of-scope work is billed separately at the agreed hourly rate.
4.3 Acceptance criteriaAcceptance criteria
Cada deliverable tem critérios de aceitação no SOW. O Cliente tem 7 dias úteis para testar e reportar defeitos. Aceitação silenciosa após 7 dias. Each deliverable has acceptance criteria in the SOW. The Client has 7 business days to test and report defects. Silent acceptance after 7 days.
05Fees e pagamentoFees and payment

Voice clones generated for you are yours. Voxatra does not retain the right to reuse a voice clone in another engagement. HeyGen / ElevenLabs license terms apply.
6.4 Portabilidade na rescisãoPortability on termination
Em rescisão, o Cliente recebe: SOPs, código (acesso read-only), prompt library e export de configuração. Migração assistida disponível em hourly rate. On termination, the Client receives: SOPs, code (read-only access), prompt library, and configuration export. Assisted migration available at hourly rate.
07ConfidencialidadeConfidentiality
Ambas as partes concordam que informação não-pública compartilhada durante o engajamento é confidencial. A obrigação de confidencialidade sobrevive à rescisão por 3 anos. Voxatra pode referenciar o engajamento em alto nível (indústria, escala, outcome) em case studies — apenas após consentimento escrito do Cliente para identificação específica. Both parties agree that non-public information shared during the engagement is confidential. The confidentiality obligation survives termination for 3 years. Voxatra may reference the engagement at a high level (industry, scale, outcome) in case studies — only after the Client's written consent for specific identification.

Para clientes com clientes finais na UE, no Reino Unido ou no Brasil, Voxatra assina um DPA sob solicitação antes de processar dados pessoais. Template disponível mediante solicitação a [email protected]. Voxatra atua como Processor; o Cliente atua como Controller. SCCs aplicam para transferências internacionais sob GDPR. For clients with end-customers in the EU, UK, or Brazil, Voxatra will sign a DPA on request before processing personal data. Template available on request from [email protected]. Voxatra acts as Processor; the Client acts as Controller. SCCs apply for international transfers under GDPR.

11RescisãoTermination
11.1 Por conveniênciaFor convenience
Qualquer parte pode rescindir com 30 dias de notice escrito. O Cliente paga todas as fees acruadas até a data efetiva. Setup fees não são reembolsáveis; o retainer é pro-ratado até a data de rescisão. Either party may terminate with 30 days' written notice. The Client pays all accrued fees up to the effective date. Setup fees are non-refundable; the retainer is pro-rated to the termination date.

Faturas pendentes permanecem devidas. Voxatra ceases service delivery. Voxatra delivers code, prompts, configs, and data export within 30 days. Confidentiality (Section 7) and liability cap (Section 10) survive. Outstanding invoices remain due.

Nenhuma parte é responsável por falhas causadas por eventos além de seu controle razoável: desastres naturais, guerra, terrorismo, pandemia, ação governamental, outages de internet ou cloud provider, falha elétrica. A parte afetada dará notice escrito e retomará a performance quando viável. Neither party is liable for failures caused by events beyond reasonable control: natural disasters, war, terrorism, pandemic, government action, internet or cloud-provider outages, power failure. The affected party shall give written notice and resume performance when feasible.

Voxatra pode atualizar estes Termos. Mudanças materiais:Voxatra may update these Terms. Material changes:

Se você não aceitar as mudanças, o único remedy é a rescisão sob a Seção 11.1. If you do not accept the changes, the sole remedy is termination under Section 11.1.
